End User License Agreement

Introduction

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and IDrone Innovations (IDI) for the IDI software products, which may include associated software components, media, printed materials, and online or electronic documentation ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. Definitions

  • "Software" means the IDI software products, including IDI Fly and any associated software components, documentation, and updates.
  • "License" means the rights granted to you under this EULA.
  • "You" or "Your" means the individual or entity using the Software.
  • "IDI" or "We" means IDrone Innovations and its licensors.

2. Grant of License

2.1 License Grant

Subject to the terms and conditions of this EULA, IDI grants you a limited, non-exclusive, non-transferable license to use the Software solely for your internal business purposes in accordance with the documentation provided with the Software.

2.2 License Restrictions

You may NOT:

  • Copy, modify, adapt, alter, translate, or create derivative works of the Software
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software
  • Rent, lease, lend, sell, sublicense, or otherwise transfer the Software or any rights therein
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
  • Use the Software for any illegal or unauthorized purpose
  • Use the Software to violate any applicable laws or regulations

3. Intellectual Property

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. All title and copyrights in and to the Software (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software), the accompanying printed materials, and any copies of the Software are owned by IDI or its suppliers.

This EULA does not grant you any rights to use IDI's trademarks, service marks, logos, domain names, or other brand features.

4. Updates and Support

4.1 Updates

IDI may, from time to time, provide updates, upgrades, or modifications to the Software. This EULA will govern any updates provided by IDI that replace and/or supplement the original Software, unless such update is accompanied by a separate license agreement.

4.2 Support

Support for the Software may be provided in accordance with a separate support agreement or as otherwise specified by IDI. Support services are not included in this EULA unless expressly stated.

5. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

IDI does not warrant that the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IDI BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if IDI has been advised of the possibility of such damages.

In any case, IDI's entire liability under any provision of this EULA shall not exceed the amount actually paid by you for the Software. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.

7. Termination

7.1 This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from IDI if you fail to comply with any term(s) of this EULA.

7.2 Upon termination of this EULA, you must cease all use of the Software and destroy all copies, full or partial, of the Software.

7.3 Sections 3 (Intellectual Property), 5 (Warranty Disclaimer), 6 (Limitation of Liability), and 9 (General Provisions) shall survive termination of this EULA.

8. Export Restrictions

You acknowledge that the Software may be subject to export restrictions. You agree to comply with all applicable international and national laws that apply to the Software, including the Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.

9. General Provisions

9.1 Entire Agreement

This EULA constitutes the entire agreement between you and IDI relating to the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software.

9.2 Governing Law

This EULA shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9.3 Severability

If any provision of this EULA is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remainder of this EULA shall remain in full force and effect.

9.4 Waiver

The failure of either party to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder.

9.5 Assignment

You may not assign this EULA or any rights or obligations hereunder without the prior written consent of IDI. IDI may assign this EULA without your consent.
